Delaware: Plan Ahead for Year-End Entity Terminations

Need to terminate a Delaware entity effective December 31, 2026? Consider filing now with a future effective date.

Delaware lets businesses submit dissolution, cancellation, and other termination filings in advance and specify a future effective date. This allows legal teams, CPAs, and business owners to complete year-end planning early, avoid last-minute filing deadlines, and leave time to resolve any issues that could delay processing.

Benefits of Filing Early

  • Complete year-end corporate housekeeping before the holiday rush.

  • Gain additional time to resolve any issues identified by the Delaware Division of Corporations.

  • Reduce the risk of delays caused by increased year-end filing volumes.

  • Maintain a planned December 31, 2026 termination date while submitting documents in advance.


Future Effective Date Rules

  • Corporations may select an effective date up to 90 days after the filing date.

  • LLCs and LPs may select an effective date up to 120 days after the filing date.

  • The submission date remains the official filing date, but the termination is not legally effective until the specified future effective date.

  • Future effective dates may fall on weekends.

  • An effective time is optional. If included, Delaware requires the time to be stated in Eastern Standard Time for indexing purposes.


Important Requirements

When using a future effective date for a dissolution or cancellation filing, all current-year franchise taxes and any required annual reports must be filed and paid before or at the time the termination document is submitted.

Additionally, once a certificate of dissolution or cancellation requesting a future effective date has been filed, the entity will no longer be eligible to obtain a certificate of good standing or certified copies of its records until the effective date has passed.
