Delaware lets businesses submit dissolution, cancellation, and other termination filings in advance and specify a future effective date. Future Effective Date Rules
Corporations may select an effective date up to 90 days after the filing date.
LLCs and LPs may select an effective date up to 120 days after the filing date.

Future effective dates may fall on weekends.
An effective time is optional. If included, Delaware requires the time to be stated in Eastern Standard Time for indexing purposes.
Important Requirements
When using a future effective date for a dissolution or cancellation filing, all current-year franchise taxes and any required annual reports must be filed and paid before or at the time the termination document is submitted.
Additionally, once a certificate of dissolution or cancellation requesting a future effective date has been filed, the entity will no longer be eligible to obtain a certificate of good standing or certified copies of its records until the effective date has passed.
